Annual Membership Meeting

December 15, 2010

The duly noticed Annual Meeting and Election of the Rotonda Meadows/Villas Conservation Association was held on Wednesday, December 15, 2010 at the Management Office, 3899 Cape Haze Drive, Rotonda West, Florida.  The meeting was called to order at 10:00 a.m. Directors in attendance were Noel Andress, Peter Traverso and Kendall Leach.  Also in attendance were John Brandenberger and Dianne Beymer, Association Managers, and 12 property owners.

A quorum of the Board was present; however a quorum of the membership was not, so no official business could be conducted.  The meeting served as a forum for information and membership suggestions for the Board of Directors to consider as well as for the election of Directors from ballots mailed in from the membership.

Proof of Notice of the meeting was presented confirming the Association had fully complied with the notice of the meeting.

The final call for ballots was announced and ballots collected.  No write-in nominations were received.  The Board always welcomes anyone interested in serving the Association either through a Board position or on a committee. 

MINUTES

The Minutes of last year’s meeting are available online or at the Management office.  A MOTION was made by Peter Traverso and seconded by Kendall Leach to dispense with the reading of the Minutes of the 2009 meeting and accept the Minutes as submitted.  Motion passed. 

TREASURER'S REPORT

Kendall Leach reported the Association is in a good position financially and expenses are in line with the budget.  Mr. Leach explained the Association’s finances are reviewed at each Board meeting.  There is a three-way check and balance system in place so the checkbook, bank statement and Trial Balance must reconcile each month.  At the end of the year an independent CPA performs a full audit of the Association finances.  A copy of the annual audit is available in the management office for review.

Mr. Leach explained that 346 lots previously thought to be unbuildable, and not subject to Association assessments, have now been deemed buildable by Charlotte County.  Accordingly, these lots are now being assessed the annual membership fee.  For 2011, this results in $27,680 in additional revenue. 

The current MSBU assessment for Villas and Springs is $297, based on the original project cost estimate of $8 million.  Kendall Leach said he’d be surprised if the final assessment is more than $120.  The Board is pushing CCU to “true-up” the costs by June so owners will receive the reduction on their 2011 tax bill.

The lawsuit against Charlotte County Utilities (CCU) filed by the developer of 150 lots in Villas due to his inability to build on the lots resulted in a judgment of $890,376 against CCU.   The judgment is being appealed.  If the developer is successful, the decision could impact the Association.  A decision is expected in April or May.

President's Report

  • Noel Andress reported 2010 was a very busy year for the Association:
  • The Meadows sewer project was completed and certified.  The Board worked diligently with CCU to reduce the MSBU assessment, which lowered to $62 per year.
  • Vacant lots were cleared
  • Villas and Springs were closed off to traffic until approximately the beginning of March during utilities installation and restoration.

Manager's Report

  • John Brandenberger reported we are waiting on permitting to do some additional mowing, especially at the entrances to make them more attractive. 
  • Paperwork has been submitted to Charlotte County petitioning them to change the name of Sargassum Road to Rotonda Trace for continuity.
  • Street paving has been put off until 2013 in Meadows and 2015 in Villas.  The roads do need paving now and the Board feels it’s too soon after owners being hit with the cost of sewer installation.  

OLD BUSINESS

NEW BUSINESS

Elevation and New Construction Costs:  Peter Traverso explained that the natural elevation in Meadows and Villas is 4-1/2 ft. to 7 ft.  The finished floor required by Charlotte County and FEMA is 10 ft.  Charlotte County won’t allow more than 1-1/2 ft. of fill, necessitating building a stemwall which adds approximately $2,500 to $3,000 to the price of the house.  The Board has initiated a study to petition FEMA to lower the flood zone from 10 ft. to 8 or 9 ft., similar to South Gulf Cove.

The Guidelines for New Construction are being updated.  Some changes under consideration are lowering the minimum square footage (currently 1,600 sq. ft.) and modifying the minimum garage size requirement

Election Results:  John Brandenberger briefly reviewed the election procedure.  He explained there were two open positions and two candidates.  There were no nominations from the floor and no write-in votes; therefore, Noel Andress and Kendall Leach were elected by acclamation.

The Board commended Mr. Brandenberger and his staff for a job well done.

The owners congratulated the Board and management on doing an excellent job.

Noel Andress thanked everyone for coming and for their support.
